  • Project Agreement -any proposal, statement of work, contract, or agreement defining project scope, deliverables, timelines, fees, and intellectual property ownership.
  • Third-Party Platforms – any external tools, platforms, or services used to deliver services, including social media networks, hosting providers, analytics tools, or software.

Final intellectual property ownership of branding assets is explicitly defined in Project Agreements.

3.4 Digital Experience & Platform Design

  • Landing page design
  • Digital platform architecture

Some projects may rely on Third-Party Platforms. Clients acknowledge that Eagle Digital is not responsible for outages, downtime, or policy changes of such platforms.

3.5 Growth Architecture & Strategic Design

Performance marketing services include:

  • Paid advertising strategy
  • Campaign planning and optimization
  • Conversion strategy
  • Marketing analytics
  • Growth experiments and scaling strategies

4. Client Responsibilities

Clients must:

  • Provide accurate and complete information required for projects
  • Respond to feedback requests promptly and within agreed timelines
  • Approve deliverables or revisions within Project Agreement deadlines (email or portal confirmation recommended)
  • Ensure materials provided (logos, images, videos, text) do not infringe third-party rights

Delays caused by lack of client feedback may affect project timelines.

5. Service Agreements and Project Scope

All services are governed by a Project Agreement, which defines:

  • Project scope
  • Deliverables
  • Timelines
  • Pricing and payment structure
  • Revision limits
  • Intellectual property ownership

In case of conflict between these Terms and a Project Agreement, the Project Agreement takes precedence.

6. Payments and Fees

Fees for services are outlined in project proposals, invoices, or service agreements. Unless otherwise stated:

  • Payments must be made in Malaysian Ringgit (MYR)
  • Deposits may be required before work commences
  • Remaining balances must be paid according to invoice terms

Late Payments:

Late payments may result in:

  • Suspension of services
  • Delayed project delivery
  • Additional administrative or late payment charges where applicable

Refund Policy:

  • Deposits are generally non-refundable
  • Work completed up to the point of termination must be paid in full
  • Refunds may be considered at Eagle Digital’s sole discretion and must be documented in writing

Ownership of Deliverables:

Eagle Digital reserves the right to retain ownership of deliverables until full payment has been received.

7. Intellectual Property

7.1 Client Materials

Clients retain ownership of materials they provide (logos, images, videos, content, trademarks). Clients grant Eagle Digital a limited license to use these materials solely for delivering services.

7.2 Work Created by Eagle Digital

Unless otherwise stated in a Project Agreement:

  • Eagle Digital retains ownership of concepts, methodologies, frameworks, and strategies.
  • Clients receive full license or ownership of final Deliverables only after full payment.
  • Ownership transfer of specific assets (e.g., logos, branding systems) is explicitly defined in the Project Agreement.

7.3 Portfolio Rights

Eagle Digital may display completed projects in:

  • Our website portfolio
  • Case studies
  • Marketing materials
  • Social media

Clients can opt-out via written notice if confidentiality restrictions exist.

8. Revisions and Approvals

  •  Each project includes a defined number of revision rounds.
  • Additional revisions beyond agreed scope may incur extra charges.
  • Approved deliverables are considered final unless otherwise agreed.

9. Confidentiality

Both parties agree to maintain confidentiality for proprietary or sensitive information shared, including:

  • Business strategies
  • Marketing data
  • Financial information
  • Customer data
  • Internal business processes

This obligation continues after the project ends.

10. Third-Party Platforms and Tools

Clients acknowledge that Services may involve Third-Party Platforms. Eagle Digital is not responsible for:

  • Changes in third-party policies
  • Platform outages or downtime
  • Algorithm updates
  • Account suspensions caused by third-party platforms

Clients are responsible for complying with the terms of such platforms.

11. Limitation of Liability

To the fullest extent permitted by Malaysian law:

  • Eagle Digital is not liable for indirect, incidental, or consequential damages.
  • Loss of business revenue, profits, or data is excluded.
  • Business interruptions are excluded.
  • Total liability for any service shall not exceed the total fees paid for that specific service.
  • This limitation does not exclude liability for gross negligence or willful misconduct.

12. Website Use

Users agree not to:

  • Use the website unlawfully
  • Attempt unauthorized access to systems
  • Copy or reproduce content without permission
  • Distribute malicious software

All website content is owned by Eagle Digital unless otherwise stated.

13. Privacy and Data Protection

  • Labor disputes

Affected parties must notify the other within 7 days of the event.

16. Governing Law and Dispute Resolution

  • These terms are governed by the laws of Malaysia.
  • Disputes shall be resolved under the jurisdiction of Malaysian courts.
  • Parties should first attempt amicable resolution or mediation before formal proceedings.

17. Changes to These Terms

  • Eagle Digital may update these Terms from time to time.
  • “Last Updated” date will be revised.
  • Continued use of services constitutes acceptance of updated Terms.
